Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Eloqui mobile app and the website at eloqui.es (together, the "Service"), operated by ELOQUI LTD, a company registered in the United Kingdom. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (or 16 in the EEA) to use Eloqui. By using the Service you confirm that you meet this requirement and that the information you provide is accurate.

3. No account required

Eloqui does not require you to register, so there is no username or password to protect. Your learning progress is stored on your device, which means it is not transferred automatically if you change device or reinstall the app. Your subscription is tied to the app store account you bought it with, and can be restored from that account.

4. The Service

Eloqui provides AI-powered language learning, including conversations, role-plays, grammar guidance, vocabulary practice and games. Your tutor is powered by artificial intelligence and may occasionally produce inaccurate or incomplete information. Eloqui is a learning aid and is not a substitute for professional translation, certification, or advice.

5. Subscriptions & Payment

• Eloqui offers a free tier and paid subscription plans. On Android, paid subscriptions are billed through your Google Play account; on iOS, through your Apple App Store account. Prices are shown in your local currency before you buy.
• Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the period ends.
• On Android you can manage or cancel your subscription in the Google Play Store, or at play.google.com/store/account/subscriptions; on iOS, in your Apple ID settings. Where a free trial is offered, any unused portion is forfeited when you purchase a subscription.
• Except where required by law, payments are non-refundable. Refunds for Google Play purchases are handled by Google under Google Play's refund policy, and refunds for App Store purchases are handled by Apple. You may also have statutory consumer rights that go further.

6. Acceptable Use

You agree not to misuse the Service. In particular, you will not:

• Use the Service for unlawful, harmful, or abusive purposes
• Attempt to reverse-engineer, scrape, or disrupt the Service or its underlying systems
• Submit content that is illegal, hateful, or infringes others' rights
• Resell or commercially exploit the Service without our written permission

7. Intellectual Property

The Service, including the Eloqui name, logo, software, tutor personalities, and content, is owned by ELOQUI LTD and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for personal, non-commercial learning. You retain ownership of the content you submit.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate.

9. Limitation of Liability

To the fullest extent permitted by law, ELOQUI LTD will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Nothing in these Terms limits liability that cannot be excluded under applicable law.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that could harm us or other users.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you in the app. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Nothing here affects mandatory consumer-protection rights you may have in your country of residence.
